This is not a direct answer to your question but more a general 
observation about the role of corporate board members.

Corporate and community board members are considered equal in every way 
except how they are "elected".

Community board members are elected by the community, obviously.

Corporate board members are "elected" by a sponsoring company.

Once on the board, all board members regardless of affiliation are bound 
both by the foundation's bylaws and the law of the land regarding the 
responsibilities of the board of a corporation.

The executive committee is made up of board members that hold officer 
positions in the foundation. They can be either corporate or community 
board members.
