Dear all,

David Connell at AterWynne is ready to submit the Articles of Incorporation
as soon as we approve them. Hopefully that can happen on tomorrow's call.
If there are any sticking points you see, please identify them now so that
we can attempt to resolve them without undue delay.

Thanks David,

A and B both work for me. I'm very happy to use them...

I think a general sense of OpenID is well understood within the community.
Outside the community it's entirely opaque. I imagine we can find an
improved or expanded definition of OpenID to be more understandable to the
general public.

thanks again,

Bill,

I would like to work toward something that refers to a public benefit. For
example, see the purposes of Mozilla, Apache and The Linux Kernel
Organization:

Mozilla - ".promote development of, public access to, and adoption of the
open source Mozilla web browsing and Internet application software."

Apache - "., including the creation and maintenance of "open source"
software distributed by the corporation to the public at no charge."

LKO - "The specific purposes of this Corporation are to provide equal and
widespread access to the Linux operating system to the public and open
source developers, educators and researchers, to enable communication in the
area of Linux operating system development, education, and research, and to
stimulate the development of a free exchange of information about the Linux
operating system."

What about something like the following?

The specific purposes of the corporation include the following:

(a) To foster and promote the development of, public access to, and adoption
of OpenID as a framework for user-centric identity on the Internet; and

(b) To acquire, create, hold, and manage intellectual property related to
OpenID and provide equal access to such intellectual property to the OpenID
community and public at no charge.

Also, is there any question or debate about what constitutes OpenID in a
general sense? If so, we should try to generally define it.

Thanks, Dave

Bill,

I am available between 2 and 5 pst today--what works for you?

With respect to written consents, fax and pdf are fine. The statute also
permits "electronic signatures." Let's discuss further on the call.

Thanks, Dave

Bill and Scott,

Attached for your review are Articles, Bylaws and an organizational consent
for OpenID Foundation. I tried to keep the bylaws as simple and flexible as
possible while also incorporating the terms you previously outlined. I
would like to discuss the purposes before this goes to a larger group; we
have some concerns about the second sentence. Also, please help us in
defining OpenID.

In your dues schedule, how do you intend to categorize governmental
organizations, which would likely have a lot of employees?

I am traveling Wednesday afternoon and Thursday morning, but otherwise
generally around. Thanks, Dave
